TERMS AND CONDITIONS

1. INTRODUCTION

Welcome to NexVira. These Terms and Conditions ("Terms") govern your access to and use of the NexVira website, platform, and related services (collectively, the "Site").

By accessing, registering with, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable policies referenced herein.

NexVira operates as a platform that connects customers with independent entrepreneurs, businesses, and service/product providers ("Service Providers") for the provision and purchase of various products and services.

NexVira reserves the right to amend, update, or modify these Terms from time to time. Any changes will become effective when published on the Site. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

2. THE CONTRACT

By placing an order through NexVira for advertising, branding, promotional, or other services, you submit a request to engage the relevant Service Provider.

NexVira facilitates the connection between customers and Service Providers but does not necessarily provide the underlying products or services itself. Unless expressly stated otherwise, the agreement relating to the provision of a particular product or service is between you and the relevant Service Provider.

Any order confirmation, notification, email, SMS, or other communication issued through the Site may acknowledge receipt of your order or request but does not necessarily constitute acceptance by the Service Provider.

A binding agreement for the provision of a service or product will arise in accordance with the applicable terms agreed between you and the Service Provider.

Service delivery times displayed on the Site are estimates only and may be affected by circumstances beyond NexVira's control, including third-party suppliers, availability, technical issues, transportation, delays, or other external factors. NexVira does not guarantee that services or products will be delivered within a specific timeframe unless expressly stated otherwise.

NexVira does not control or determine the commercial terms agreed between customers and Service Providers, including pricing, scope of work, payment arrangements, specifications, and delivery timelines.

Service Providers may cancel an order before work or service commencement, subject to their applicable policies. Where an order is cancelled and a refund is applicable, the refund will be processed in accordance with the applicable refund policy and stated processing timelines.

3. ELIGIBILITY

You must be at least 18 years of age to use NexVira independently.

If you are under 18 years of age, you may use the Site only with the consent and supervision of a parent or legal guardian, where permitted by applicable law.

By using the Site, you confirm that you have the legal capacity and authority to enter into agreements and that your use of the Site complies with all applicable laws and regulations.

4. ACCOUNT REGISTRATION

Certain features of the Site may require you to create an account.

You agree to provide accurate, complete, and current information when creating or maintaining your account and to update such information when necessary.

You are responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You must promptly notify NexVira if you become aware of any unauthorized access to or use of your account.

You are responsible for activities carried out through your account unless such activities resulted from circumstances beyond your reasonable control.

NexVira reserves the right to suspend, restrict, or terminate an account where we reasonably believe that the account has been used in violation of these Terms, applicable law, or in a manner that may harm NexVira, other users, or the integrity of the Site.

5. USE OF THE SITE

You agree to use the Site only for lawful purposes and in accordance with these Terms.

You must not:

• Use the Site for fraudulent, unlawful, misleading, or deceptive purposes;
• Impersonate another person or business;
• Provide false or misleading information;
• Interfere with or disrupt the operation or security of the Site;
• Attempt to gain unauthorized access to any account, system, or network;

NexVira reserves the right to take appropriate action against users who violate these Terms or applicable laws.

6. SERVICE USAGE

Products and services available through NexVira are intended for legitimate personal or business purposes, including branding, advertising, marketing, promotion, purchasing, and related activities.

Unless otherwise agreed with the relevant Service Provider, you may not resell, redistribute, reproduce, or commercially exploit a service or product obtained through NexVira where such activity is prohibited by the Service Provider's terms.

NexVira reserves the right to limit, refuse, or cancel orders where the requested quantity or usage appears unreasonable, fraudulent, abusive, or inconsistent with the intended purpose of the Site.

You may request cancellation of an order before the relevant service has commenced. Where cancellation is permitted before commencement, no cancellation fee will ordinarily apply, subject to the applicable Service Provider's policies and any applicable law.

Once work has commenced, cancellation, refunds, or charges will be subject to the applicable Service Provider's cancellation and refund policy.

7. PRICING AND PAYMENT

Prices displayed on NexVira may be determined by individual Service Providers and may vary depending on the nature, scope, specifications, quantity, or customization of the product or service requested.

Where applicable, taxes and other charges will be displayed or communicated before payment.

Although NexVira takes reasonable steps to maintain accurate pricing information, errors or omissions may occasionally occur. If an order has been placed at an incorrect price due to an obvious pricing or technical error, NexVira or the relevant Service Provider may cancel the order and notify you accordingly.

Where payment has already been made for a cancelled order, any applicable refund will be processed in accordance with the relevant refund policy.

Payments must be made using the payment methods and within the timeframes specified at the time of purchase or as otherwise agreed with the Service Provider.

Failure to make a required payment may result in the suspension, delay, or cancellation of the relevant service or order.

8. REFUNDS AND CANCELLATIONS

Refunds and cancellations are generally subject to the applicable policy of the relevant Service Provider and the nature of the product or service purchased.

Where a service or product cannot be provided due to circumstances beyond the reasonable control of the parties, NexVira may assist the customer and Service Provider in communicating and resolving the matter.

Where a service has not been provided, or has only been partially completed, any refund will be determined in accordance with the applicable Service Provider's refund policy and any rights available to the customer under applicable law.

Service Providers may offer refunds or remedies in specific circumstances, including dissatisfaction with a completed service, defective products, or failure to meet agreed specifications. Such remedies may be subject to the terms agreed between the customer and Service Provider.

Nothing in these Terms is intended to exclude or limit any consumer rights that cannot lawfully be excluded or limited under applicable law.

9. SECURITY AND FRAUD PREVENTION

When making a payment through NexVira, you confirm that you are authorized to use the payment method provided.

You must not use stolen, unauthorized, fraudulent, or unlawfully obtained payment methods, vouchers, promotional codes, or account information.

NexVira reserves the right to cancel, suspend, or investigate transactions that we reasonably believe may involve fraud, unauthorized activity, abuse, or violation of these Terms.

Where appropriate, suspected fraudulent or unlawful activity may be reported to the relevant authorities.

10. SITE SECURITY AND CONFIDENTIALITY

NexVira takes reasonable measures to protect the security and confidentiality of information provided through the Site.

However, no website, online platform, electronic transmission, or storage system can be guaranteed to be completely secure. Accordingly, NexVira cannot guarantee absolute security against every possible unauthorized access, loss, disclosure, or misuse of information.

Confidentiality

Information provided by customers, including personal and business information, will be handled in accordance with NexVira's applicable privacy practices and used for legitimate business purposes, including account administration, order processing, customer support, communication, and delivery of requested services.

NexVira may disclose information to Service Providers, payment processors, technology providers, delivery providers, or other third parties where reasonably necessary to provide the requested services, process transactions, operate the Site, comply with legal obligations, or protect the rights and security of NexVira and its users.

Data Protection

NexVira will take reasonable technical and organizational measures to protect personal information against unauthorized access, alteration, disclosure, or destruction.

Account Security

You are responsible for keeping your account credentials confidential and for taking reasonable steps to protect your account.

NexVira will not be responsible for unauthorized activities resulting from your failure to maintain the security of your account credentials, except where otherwise required by applicable law.

Payment Security

Payments made through the Site may be processed through third-party payment gateways or payment service providers.

NexVira does not intend to store complete payment card details on its own servers where such information is processed directly by the applicable payment provider. Payment information may be handled by third-party payment processors in accordance with their own terms and security practices.

11. INTELLECTUAL PROPERTY

Unless otherwise stated, all content and materials available on the NexVira Site, including text, graphics, logos, trademarks, designs, images, software, interfaces, and other materials, are owned by or licensed to NexVira.

NexVira acts primarily as a platform connecting customers with Service Providers and does not guarantee the quality, accuracy, suitability, availability, legality, or performance of products or services supplied by independent Service Providers.

NexVira is not responsible for disputes arising directly between customers and Service Providers, including disputes relating to pricing, quality, specifications, performance, delivery, warranties, cancellations, or refunds, except to the extent that NexVira is legally responsible under applicable law.

To the maximum extent permitted by applicable law, NexVira will not be liable for indirect, incidental, special, consequential, or unforeseeable loss or damage arising from your use of the Site or your dealings with Service Providers.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

13. MODIFICATIONS TO THE SITE

NexVira reserves the right to modify, update, suspend, restrict, or discontinue the Site or any part of its features or services at any time, temporarily or permanently, with or without notice.

NexVira will not be liable for any loss or damage resulting from the modification, suspension, interruption, or discontinuation of the Site, except where liability cannot legally be excluded or limited.

14. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of Sri Lanka.

Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, the use of the Site, or services provided through NexVira shall be subject to the jurisdiction of the courts of Sri Lanka, subject to any mandatory rights or remedies available under applicable law.
